Terms and Conditions
Draft updated October 30, 2026 · Subject to owner and legal review
This policy is a proposed starting point, not an approved final policy. It should be reviewed by the business owner and legal counsel before use for a service registration or customer agreement.
1. Service and operator
One Business Center (Chambers), operated by Turning Edge Holding Co., provides company management, client portals, documents, communications, scheduling, invoicing, time tracking, payroll tools, and optional managed services. These are proposed terms for review, not an executed agreement with a user or service provider.
2. Accounts and authorized use
Use the service only for lawful business purposes and only for companies and records you are authorized to manage. Provide accurate account information, protect passwords and portal links, and grant team access only where appropriate. Do not access another company's records, bypass access restrictions, upload malicious material, or misuse another person's information.
Companies are responsible for their staff invitations, client notices, and permissions to upload, email, and process client and employee information. A platform role does not authorize access to unrelated company records.
3. Client documents and electronic signatures
You retain rights to the content you provide and authorize its processing as needed to deliver the services you request. You are responsible for having the rights and permissions to provide that content.
Users requesting or applying signatures must have authority to do so and confirm that electronic signatures are appropriate for the document and jurisdiction. Audit records support the transaction but do not guarantee that every document meets every legal requirement. Legal forms and company-specific templates are editable starting points requiring counsel review before delivery.
4. Billing and managed services
The price, renewal terms, and payment obligations shown in your checkout or separately agreed service agreement govern your purchase. Optional Chambers managed services require a separate agreement, including the agreed fee and payment date. Any managed-service fee increase requires notice and agreement.
Platform subscriptions and managed-service payments use the configured Stripe service. Client-to-company payments use the company's own configured options. A displayed payment link or submitted payment report is not proof of settlement; payment status depends on processor confirmation or authorized reconciliation. Cancellation and refund rights are subject to the agreed purchase terms and applicable law.
Currently approved software pricing is $24.99 per month for up to five businesses, with $9.99 per additional business. Each company includes two user seats; each additional seat costs $12 per month. Optional managed service starts at the saved agreed fee, with $250 per month per company as the legacy starting fee. Photo storage is per company: 10 GB free, 100 GB $5.99 per month or 500 GB $14.99 per month. Unlimited is not offered for new purchases pending price approval; existing subscriptions are not repriced by this draft.
Storage purchases and seat purchases renew monthly under the checkout terms. Storage capacity changes only after verified payment. A downgrade does not promise deletion of existing files; uploads may be restricted until usage fits the lower allowance. Proposed changes to software, payroll, payment or transfer pricing are not adopted fees until approved and disclosed in the applicable checkout or agreement.
For company card payments routed through Business Hub, the currently approved platform processing fee is $35 per payment with a $35.50 minimum payment. Stripe may separately charge applicable card, connected-account or payout fees; these are provider costs, not a promise that this platform fee includes them. An additional employee direct-deposit fee has not been approved. Payout availability and timing depend on authorization, provider verification and bank processing; saved bank details alone do not initiate transfers.
4.1 Invoices, expenses, and taxes
Proposed billing standard: recurring software, seat, storage, and agreed management fees are due on their existing checkout renewal date or separately agreed payment date. Separately invoiced services and approved expenses are due 30 calendar days after the invoice date unless a signed agreement specifies otherwise. This draft does not change existing invoice due dates or create automatic charges.
Each invoice should identify the responsible company, service period, service charges, approved reimbursable expenses, applicable taxes, payment or transfer fees, credits, and total due. A multi-company report does not merge separate legal entities' debts or make one company liable for another company's charges without its express agreement.
Reasonable out-of-pocket expenses such as postage, courier charges, check stock, approved filing fees, and separately requested third-party services may be reimbursed only when the company approves them in writing or they fall within a written spending budget. Itemize expenses and provide supporting receipts on request. Charge actual documented cost with no markup unless the markup was expressly agreed before the expense was incurred; do not bill the same cost twice.
Applicable sales, use, and similar transaction taxes are itemized when legally required and are separate from service fees; taxes on the operator's own income remain the operator's responsibility. Ongoing external software subscriptions require the company's authorization and are subject to that provider's terms.
4.2 Processing, payouts, and direct deposits
The currently approved $35 Business Hub platform processing fee and $35.50 minimum remain unchanged for the company card-payment flow to which they apply. They are not an additional fee on every software subscription or every invoice payment. Actual processor charges depend on the company's authorized payment arrangement and may include card processing, international-card or currency-conversion charges, connected-account fees, and bank-payout fees. Disclose which party pays each charge before authorization; do not represent a provider benchmark as a guaranteed account-specific rate.
Company bank payouts and employee payroll direct deposits are different services. No new One Business Center direct-deposit, standard-payout, instant-payout, or transfer surcharge is adopted by this draft. Any actual third-party bank or payroll charge must be disclosed and authorized under the applicable provider agreement. An expedited or instant transfer requires an explicit opt-in and its quoted fee. Do not charge a company again for a cost already included in its agreed platform fee.
Employee payroll deposits require a properly authorized payroll provider, verified funding, accurate payroll instructions, and compliance with applicable payroll laws. Do not deduct platform or processing fees from employee wages without a lawful basis and any required authorization. Transfer timing depends on provider review, funding, banking cutoffs, holidays, reversals, and the company's chosen payout schedule; funds are not guaranteed available immediately.
Do not add cardholder surcharges, debit-card surcharges, convenience fees, or other payment-method charges without reviewing the applicable law, card-network rules, processor agreement, and required disclosure. A customer's payment consent does not by itself make a surcharge lawful.
4.3 Failed payments, refunds, and chargebacks
Returned-payment or failed-transfer costs may be passed through only at the actual documented amount, if previously disclosed, authorized, and legally permitted. No fixed returned-payment penalty or undisclosed administrative markup is established by this draft. The company must be notified of a failed payment rather than being represented as paid.
The company identified as seller handles its customer refunds and payment disputes, subject to the processor's rules and applicable law. Refunds and reversals must be recorded against the original transaction. Processor fees may not be returned by the provider; whether the platform fee is refundable must be disclosed in the applicable checkout or agreement, not assumed from this draft.
A chargeback does not determine the underlying contractual dispute. The responsible seller should provide truthful supporting records within provider deadlines. Any reserve, hold, recovery, or deduction must have a contractual and legal basis and must not be taken from an unrelated company's funds.
4.4 Overdue interest and billing disputes
Proposed conservative business-to-business late-payment term: only if expressly agreed in writing and lawful, simple interest may accrue on an undisputed overdue service-fee principal beginning 15 calendar days after its due date. The proposed rate is the lower of 1% per month (12% per year) or the maximum lawful rate, prorated daily using the annual rate divided by 365. There is no compounding, interest on interest, flat late penalty, or interest on taxes, reimbursed expenses, processing fees, or client or employee funds. If the term is not agreed or cannot lawfully apply, no interest is assessed.
Notify the company of the overdue amount and calculation before seeking interest. The app does not automatically calculate or collect this proposed interest, and the term does not apply retroactively to existing obligations. Consumer, professional trust-account, payroll, and jurisdiction-specific restrictions take precedence.
Ask the company to report an invoice concern within 30 calendar days of receipt where practical, identify the disputed item, and pay undisputed amounts on time. This requested notice period does not waive statutory rights or prevent correction of billing errors. Pause interest on amounts subject to a genuine billing dispute while it is reviewed; promptly document corrections and credits.
Before restricting services for an undisputed overdue balance, provide written notice and a reasonable opportunity to resolve it. Do not withhold employee wages, client funds, or legally required records as leverage. Any collection costs sought must be reasonable, actually incurred, authorized by the agreement, and permitted by law; attorney fees require a separate legal and contractual basis.
4.5 Renewals, cancellation, and price changes
The subscription term, renewal date, and total recurring charge shown at checkout govern. Proposed standard: cancellation stops the next renewal and access continues through the paid period, unless the purchase agreement, provider rules, or law require otherwise. Unused portions of a paid period are not ordinarily refunded, except where required by law or an agreed refund policy; duplicate or incorrect charges must be investigated and corrected. An annual commitment is not converted to a monthly commitment by requesting cancellation.
Proposed software price-change standard: give at least 30 calendar days' advance notice and apply changes no earlier than the next renewal, allowing cancellation before the new price applies. Preserve existing contracted terms. Managed-service fee increases still require notice and the company's agreement. New services, expense markups, payroll fees, or transfer fees require express agreement; posting this draft does not authorize them.
Seat and storage changes are subject to the verified checkout's stated proration and effective date. A downgrade may restrict new uploads if existing usage exceeds the new limit; it does not authorize surprise deletion of files. Final export, retention, and closure procedures must be confirmed before adoption, and lawful record-access obligations remain in effect.
5. Payroll, checks, and professional responsibility
You must verify employee details, hours, deductions, current tax rates, bank details, check numbers, and reports before processing payroll, filing taxes, or printing checks. The app does not replace a payroll professional, accountant, lawyer, bank, or tax authority.
Printed checks depend on valid company bank details, appropriate check stock, printer alignment, and your bank's requirements. Printing a check does not send funds or guarantee bank acceptance. Xero connection setup does not enable payroll execution or check printing through Xero.
6. Connected services and Xero
Connect only accounts you have authority to use. Connected providers have their own terms, policies, permissions, availability, and charges. You may revoke a provider connection; revoked permissions can stop dependent features.
A Xero connection is limited to its authorized account and organization and the requested feature. It must not be used for cross-customer aggregation, data resale, AI-model training or improvement, or restricted financial workflows without the provider's required approval and user consent. GoCardless payment setup in Xero is separate from linking this app.
7. AI, availability, and recordkeeping
AI-assisted output may be incomplete or inaccurate and requires human review. Do not rely on it as legal, tax, financial, or other professional advice. Use optional AI features only with appropriate authority for the information you submit.
Service availability can be affected by maintenance, networks, and connected providers. Keep appropriate independent copies of important records and verify results before relying on them. No guarantee of uninterrupted operation or error-free results is made in this draft.
8. Privacy, account closure, and final review
The separate Privacy Policy describes proposed information-handling practices. Deactivation or signing out does not automatically delete shared company records or erase accounting and signature audit history. Contact the operator about record requests and account closure.
These draft terms require owner and legal review before adoption. Final terms should address applicable legal jurisdiction, disputes, liability, refunds, retention, and required consumer rights without overriding applicable law. This draft does not claim agreement by Lovable, Xero, or any other third-party provider.
